Company and Directors Penalised for Form PAS-3 Delayed Filing: ROC
The Registrar of Companies (ROC) Hyderabad has imposed a penalty amounting to Rs 44000 on the company, Bintix Waste Research and its three directors, under section 454 of the Companies Act, 2013.
On August 20, 2025, the disputed company filed an adjudication application, acknowledging non-compliance committed by it under Section 42(8) of the Companies Act, 2013.
The company made the securities allotment on February 24, 2021. Every company is required to file Form PAS-3 with the Registrar of Companies within fifteen days from the date of allotment. The company submitted the form on April 2, 2021, which was beyond the prescribed time limit. Because of this delay, both the company and its directors became liable for a penalty under Section 42(9). Later, the company filed an application for adjudication of the delay on August 20, 2025. The ROC issued a show-cause notice, but the company and its directors chose not to opt for an e-hearing.
In consideration of the aforementioned findings, the concerned authority imposed a penalty of Rs 44,000 on the company and its three directors, Edward Roshan Miranda, Udit Patidar and Jayanarayan Kulathingal (Rs 11,000 each). No additional daily penalty has been imposed.
They have been directed to pay the imposed penalty amount and correct the default within 90 days of receiving the order.
